Terms and Conditions (“T&Cs”) for KPay Partner Portal

KPay合作夥伴平台條款及細則（“條款及細則”）

1. General Conditions 一般條款

1.1. Partner Portal (the “Portal”) is an integrated service portal that allows you to manage your business relationships with KPay Merchant Service Limited (“we”, “us”, “our” or “KPay”).

合作夥伴平台（“平台”）是你管理你與 KPay Merchant Service Limited（“我們”，“我們的”或“KPay”）業務關係的一個整合服務平台。

1.2. We offer this Portal, including all information, tools and services available on the Portal to you, the user, conditioned upon your acceptance of all terms, conditions, policies and notices stated herein.

倘你接受本文所述的所有條款、細則、政策及通知，我們將為你（或“用家”）提供本平台，包括本平台上所有信息、工具及服務。

1.3. By visiting our Portal, you agree to use our services on the Portal (“Services”) and agree to be bound by these T&Cs, including those additional terms and conditions and policies referenced herein, and any other documents between you and KPay. These T&Cs apply to all users of the Portal.

通過訪問本平台，你同意使用我們在本平台上的服務（“本服務”），並同意受本條款及細則約束，包括此處引用的，和你與KPay簽署的其他文件，以及其他相關政策。本條款及細則適用於本平台的所有用戶。

1.4. If you find yourself unable to agree to these T&Cs, you must immediately cease using the Portal, including using and/or accessing any Services available on the Portal.

若你發現你無法同意本條款及細則，請立即停止使用本平台，包括停止使用和/或訪問本平台上任何可用服務。

1.5. We reserve the right to refuse to provide our Services within the Portal or the use of our Portal to anyone for any reason at any time. You understand that any information provided by you may be transferred unencrypted and involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices.

我們保留以任何理由隨時拒絕向任何人提供我們的服務或使用本平台的權利。您明白您提供的任何信息可能會以未加密的方式傳輸，並涉及（a）通過各種網絡傳輸；及（b）被更改以符合及適應連接網絡或設備的技術要求。

1.6. We reserve the right at any time to modify or discontinue the Services (or any part or content thereof) without notice at any time. We shall not be liable to you or to any third-party for any modification, price change, suspension, or discontinuance of the Services.

我們保留隨時修改或終止本服務（或其任何部分或內容）的權利，恕不另行通知。而我們不對你或任何第三方承擔任何的修改服務内容、價格變更、暫停或中止服務的責任。

1.7. Your use of this Portal shall comply with our acceptable use policy set forth below. We may (but are not obligated to) monitor and review your account, content, and conduct when you use our Portal. We shall have the right to suspend your access to the Portal if we find your use of the Portal is in violation of these T&Cs.

你使用本平台時需遵守我們以下使用政策及條款。當你使用本平台時，我們可能（但沒有義務）監控和審查你的賬户，內容及行為。如我們發現你違反了本條例及細則，我們將有權暫停你訪問及使用本平台。

1.8. You hereby agree not to:

(a) copy, modify, alter, adapt, translate, reverse engineer, disassemble, decompile, create derivative works from, or distribute any content from our services;

(b) alter, remove, tamper, copy, display or use our trademarks and all other intellectual property owned by us or any third party for any purpose not explicitly authorized in these T&Cs;

(c) engage in spidering or harvesting or participate in the use of software, including spyware, designed to collect data from our Portal, including from any user of our Portal;

(d) transmit any virus, other computer instruction, or technological means intended to, or that may, disrupt, damage, or interfere with the use of computers or related systems;

(e) stalk, harass, threaten or harm any third party;

(f) impersonates any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity;

(g) participate in any fraudulent or illegal activity, including but not limited to phishing, money laundering, or fraud;

(h) access our Portal to obtain information to compete with KPay;

(i) disclose any information you obtained from the Portal to any third party;

(j) advocate, encourage or assist any third party in doing any of the foregoing.

你在此同意不會：

(a) 複製、修改、更改、篡改、翻譯、逆向工程、拆解、反編譯，從本服務中創建衍生作品或發佈本服務的任何內容；

(b) 因本條例及細則中未明確授權的任何目的，更改、刪除、篡改、複製、展示或使用我們或任何第三方擁有的商標和所有其他知識產權

(c) 參與爬取、採集數據或使用旨在從本平台（包括本平台用戶）收集數據的間諜軟件；

(d) 傳播任何旨在或可能擾亂、損壞或干擾電腦或相關電腦系統的病毒，其他電腦指令或技術手段；

(e) 跟蹤、騷擾、威脅或傷害任何第三方；

(f) 冒充任何人或實體，或虛假陳述或以其他方式歪曲你與其他人或實體的關係； (g) 參與任何欺詐或非法活動，包括但不限於網絡釣魚、洗錢或欺詐行爲；

(h) 存取本平台信息以從事與KPay競爭性的行為；

(i) 將你從本平台獲取的信息透露給第三方；

(j) 提倡、鼓勵或協助任何第三方執行上述任何行為。

1.9. You shall not use the Services for activities that:

(a) relate to transactions involving any (i) Dangerous Drugs under the Dangerous Drugs Ordinance Cap. 134; (ii) items that encourage, promote, facilitate or instruct others to engage in any illegal activity; (iii) stolen goods; (iv) promotion of hate, violate, racial or other forms of intolerance that is discriminatory or the financial exploitation of a crime; (v) any Class III (Obscene) articles under the Control of Obscene and Indecent Articles Ordinance Cap. 390; (vi) items that infringes any patent, trademark, trade secret, copyright or other intellectual property right of another person or entity; or (vii) any firearms, ammunition, prohibited weapons and their parts and accessories, or other items that are considered as dangerous goods by

Hong Kong laws;

(b) relate to any transactions that are (i) associated with or support any fraudulent or illegal transactions such as investment scams and fraudulent “high-yield investment programs”; or (ii) for the purpose of receiving payments for the purpose of bribery or corruption; or (c) relate to any transactions that is in violation of any applicable laws.

你不得利用服務作以下活動：

(a) 進行涉及任何（i）《危險藥物條例》（第134章）管制下的危險藥物所有關的交易；（ii）鼓勵、促進、便利或指使他人從事任何非法活動；（iii）贓物；（iv ）宣揚仇恨、侵犯、種族歧視或其他不能容忍的歧視行為，或利用金錢進行犯罪活動；（v）任何受《淫褻及不雅物品管制條例》（第390章）管制的第III類（淫褻）物品；（vi）侵犯他人或實體的專利、商標、商業祕密、版權或其他知識產權；或（vii）與任何槍械、彈藥、違禁武器及其零件和配件，或其他被香港法律視為危險品的相關物品及事項；

(b) 進行（i）支持與任何欺詐或非法交易相關的交易，例如投資騙局及詐騙「高收益投資計劃」; 或（ii）收受賄賂或貪汙款項；或 (c) 違反任何適用法律及法規的交易。

1.10. Changes To the T&Cs條款及細則更改

You can review the most current version of these T&Cs at any time on this page. We reserve the right to update, change or replace any part of these T&Cs by posting updates and/or changes to our Portal from time to time. Any changes to these T&Cs will apply to orders placed or Services used on or after the effective date stated in these T&Cs. It is your responsibility to check this page periodically for changes.

Upon your access to the Portal, whether as a new or existing user, you will be required to review and accept any updated T&Cs. This will be done through a check box mechanism or manner as deemed fit by KPay. Your continued use of our Services or access to the Portal following the posting of any changes constitutes acceptance of those changes.

2. Our Services 我們的服務

2.1. In order to access our Portal, you must register an account with us on the Portal. Each of your shareholder, director, employee, agent or independent contractor or any other persons that are authorized to use the Portal on your behalf (“Authorized Users”) are wholly responsible to keep your login credentials confidential and secured. You and your Authorized Users are also wholly responsible for all activities that occur on or in connection with your respective accounts and you agree to notify us immediately of any unauthorized access or use of your accounts. You acknowledge and agree that we are not responsible or liable for any damages, losses, costs and expenses, or liabilities related to any unauthorized access to or use of your accounts.

你必須在本平台註冊一個賬戶以便訪問本平台。你的每一位股東、董事、僱員、代理人或獨立承包商或任何其他獲授權代表你使用本平台的人士（「授權用戶」）應全權負責保密及保護你的登入憑證，而且為你們各自賬戶上發生的，或相關的所有活動承擔全部責任，並且你同意立即通知我們你的賬戶發生任何未經授權的訪問或使用。你確認並同意我們概不負責有關未經授權的訪問或的賬戶使用所引起的任何損害、損失、成本及費用或責任。

2.2. You and your Authorized Users agree to provide true, accurate, current, and complete information about yourselves or the entity that you are representing as prompted by us at registration. You must not impersonate others or otherwise provide false information when creating an account on our Portal. If you are representing a company, organization or a legal entity or otherwise registering on behalf of someone else (e.g. your employees), you represent and warrant that you have the authority to bind such entity or individuals to these T&Cs. We have the right to suspend any party’s use of the Portal if we reasonably believe that the information provided to us at registration is not true, accurate, current, or complete. We may require supporting identification document from you such as business registration documents as we may deem reasonably necessary. You understand that if you fail to provide such documents as requested, you may not be able to register an account on the Portal.

你和你的授權用戶同意按照我們在註冊時給予的指示去提供你自己或你所代表實體的真實、準確、 新及完整的相關信息。在本平台創建賬戶時，你不得冒充他人或以其他方式提供虛假信息。倘你代表公司、組織或法人實體或以其他方式代表他人（如你的員工）進行註冊，你必須聲明並保證你有權使該實體或個人受本條款及細則約束。若我們有理由懷疑你在註冊賬戶時提供的信息失實、不準確、過時或不完整，我們有權暫停任何一方使用本平台。我們或會要求你提供證明文件，例如一些我們認為合理必要的商業登記文件。你明白若未能按要求提供此類文件，則可能無法在本平台註冊賬戶。

2.3. While we strive to make the Services available at all times, you acknowledge that your access and the use of the Portal and our Services offered may be suspended for the duration of any planned, unanticipated or unscheduled downtime or unavailability of any portion or all of the Services for any reason including but not limited to system failures and technical interruptions. We have the absolute right, without any liability to you, to suspend your access to the Portal or our Service at any time, for all scheduled downtime for the purpose of periodic maintenance or otherwise.

2.4. We are not responsible if information made available on this Portal in the provision of the Services is not accurate, complete, or current. The materials provided to you on this Portal via the Services are provided for general information only and should not be relied upon or used as the sole basis for making decisions without consulting primary, more accurate, more complete, or more timely sources of information. Any reliance on the material on this Portal is at your own risk. No information obtained by you from the Portal shall create any warranty not expressly stated by us in these T&Cs.

若本平台上提供的服務的信息不準確、不完整或過時，我們概不負責。透過本平台服務向你提供的信息僅供一般參考，在諮詢 主要、更準確、更完整或 新的信息來源前，不應將其作為決策的唯一依據。你需自行承擔依賴本平台上任何信息的風險。你從本平台獲得的任何信息均不構成我們在本條款及細則中未明確聲明的任何擔保。

2.5. This Portal may contain certain historical information. Historical information, necessarily, is not current and is provided for your reference only. We reserve the right to modify the contents of this Portal at any time, but we have no obligation to update any information on our Portal. You agree that it is your responsibility to monitor changes to our Portal.

2.6. This Portal will enable you to provide leads to KPay. You may submit leads through the Portal and are granted access to view basic information regarding those leads and the contracting status of the merchants you have referred, subject to KPay’s sole discretion. KPay reserves the right to monitor, review, and validate all submitted leads for accuracy and compliance with these T&Cs. KPay further reserves the right to reject any lead that it deems misleading, inaccurate, or otherwise in violations of these T&Cs or applicable laws. KPay shall not be liable for any damages, losses, or claims arising from the submission or use of leads. By submitting leads, you agree to indemnity and hold KPay harmless from any claims, liabilities, or expenses arising out of your submission or referral of such leads.

本平台將使您能夠向 KPay 提供銷售線索。您可以通過合作夥伴平台提交銷售線索，並獲得查看您所推薦商戶的基本信息及其合約狀態的權限，該權限由 KPay 全權酌情決定。KPay 保留監控、審查和驗證所有提交的銷售線索的權利，以確保其準確性和符合本條款及細則。KPay 擁有拒絕任何其認為具有誤導性、不準確或以其他方式違反本條款及細則或適用法律的銷售線索的權利。KPay 對於因提交或使用銷售線索而產生的任何損害、損失或索賠不承擔任何責任。通過提交線索，您同意對 KPay 進行賠償，使KPay免於因您提交或推薦該等線索而產生的任何索賠、責任或費用。

3. Use of Merchant Data使用商戶數據

3.1. You acknowledge and agree that by offering services to the merchants referred by you (the “Merchant”), we may collect different types of information such as technical information and business information from the Merchant depending on the Merchant’s use of our services (collectively referred as “Merchant Data”). You agree that any data provided by you that are included in the Merchant Data is accurate, correct, and not misleading. You consent to our collection, storage, and processing of Merchant Data, which is done solely to enhance your experience on the Portal and to improve the quality of our Services. However, it is important to note that the Merchant Data is provided solely for your information and remains our exclusive intellectual property.

你承認並同意，透過向你推薦的商戶（「商戶」）提供服務，我們可能會根據商家對我們服務的使用情況收集不同類型的信息，例如技術資訊和業務資訊（「商户數據」）。你同意你提供的商戶數據中所包含的任何信息都是準確、正確且不具誤導性的。你同意我們收集、儲存和處理商戶數據，這樣做的唯一目的是增強你在入口網站上的體驗並提高我們的服務品質。但請務必注意，商戶數據僅供你參考，並且仍然是我們的知識產權。

3.2. We do not sell Merchant Data in exchange for money. To the extent permitted by law, you agree that such Merchant Data shall be stored and processed on our centralized data hub. All Merchant Data must be treated with strict confidentiality by you and it must not be disclosed to any third parties or used for purposes not related to the Services on our Portal. Any analytics or reports derived from the Merchant Data are to be used exclusively in connection with the Services on our Portal. We are committed to adhering to the necessary steps mandated by applicable data protection laws to legally retain and process personal data, which may involve measures like anonymization or pseudonymization to protect the identity of data subjects.

3.3. You represent and warrant that you have obtained the necessary consent from the referred merchants to collect and provide their information to KPay (“Merchant Leads”). You acknowledge that KPay relies on your confirmation of this consent in processing the Merchant Leads. Any information you provide related to the Merchant Leads must be accurate and legally permissible.

作為用家，當你通過平台提交銷售線索時，你代表並保證已獲得所推薦商戶的必要同意，以收集並提供其信息（“商戶線索”）給 KPay。你承認 KPay 在處理商戶線索時依賴於你對該同意的確認。你提供的任何與商戶線索相關的信息必須準確且符合法律規定。

3.4. You acknowledge and agree that in the event you submit Merchant Leads without having obtained the necessary consent from the referred merchants, you shall be solely liable for any claims, liabilities, damages, or expenses arising out of such submission. You agree to indemnify and hold KPay harmless from any third-party claims or disputes arising from your failure to secure such consent. KPay reserves the right to take any action it deems necessary in response to your non-compliance, including but not limited to the suspending or terminating of your access to the Portal and the Services.

你承認並同意，如果你在未獲得所推薦商戶的必要同意的情況下提交商戶線索，則你將對由此產生的任何索賠、責任、損害或費用承擔全部責任。你同意對因未能獲取該同意而引起的任何第三方索賠或糾紛進行賠償，並使 KPay 免受損害。KPay 保留在對你不合規行為採取任何必要行動的權利，包括但不限於暫停或終止你對平台及服務的訪問。

4. Data Privacy and Protection數據隱私與保護

4.1. 信息You acknowledge and agree that any personal data of Merchant Leads ("Lead Data") submitted through the Portal must be obtained and processed in full compliance with applicable data protection laws, including but not limited to any local data protection regulations.

你確認並同意，通過本平台提交的任何商戶潛在客戶的個人數據（"潛在客戶信息"）必須完全遵守適用的數據保護法律獲取和處理，包括但不限於任何當地數據保護法規。

4.2. For the purposes of these T&Cs, personal data shall include, but is not limited to, names, contact information, identification numbers, and any other information relating to an identified or identifiable natural person ("Data Subject").

就本條款及細則而言，個人數據應包括但不限於姓名、聯絡資訊、身份證號碼以及與已識別或可識別自然人（"數據主體"）相關的任何其他信息。

4.3. You warrant and represent that: a) You have obtained all necessary consents and legal bases from the Data Subjects for the collection and sharing of their personal data with KPay; b) The Data Subjects have been properly informed about the transfer of their personal data to KPay and the purposes of such transfer; c) The personal data is accurate, up-to-date, and collected for specified, explicit, and legitimate purposes; d) You maintain appropriate records of consent and processing activities as required by applicable data protection laws.

4.4. You shall: a) Implement appropriate technical and organizational measures to ensure the security and confidentiality of personal data; b) Notify KPay immediately of any actual or suspected personal data breach related to the Lead Data; c) Cooperate with KPay in addressing any inquiries, requests, or complaints from Data Subjects; d) Assist KPay in complying with its obligations under applicable data protection laws.

你應： a) 實施適當的技術和組織措施，以確保個人信息的安全性和保密性； b) 立即通知KPay任何與潛在客戶信息相關的實際或疑似個人信息外洩； c) 配合KPay處理來自信息主體的任何查詢、要求或投訴； d) 協助KPay履行適用信息保護法律規定的義務。

4.5. You shall ensure that all Lead Data is: a) Processed lawfully, fairly, and transparently; b) Collected for specified, explicit, and legitimate purposes; c) Adequate, relevant, and limited to what is necessary; d) Accurate and kept up to date; e) Kept in a form that permits identification of Data Subjects for no longer than necessary; f) Processed in a manner that ensures appropriate security.

你應確保所有潛在客戶信息： a) 以合法、公平和透明的方式處理； b) 為特定、明確和合法的目的而收集； c) 充分、相關且限於必要範圍； d) 準確且保持最新； e) 以允許識別信息主體的形式保存，時間不得超過必要期限； f) 以確保適當安全性的方式處理。

4.6. The Partner shall support KPay in fulfilling Data Subject requests, including but not limited to: a) Right of access; b) Right to rectification; c) Right to erasure ("right to be forgotten"); d) Right to restrict processing; e) Right to data portability; f) Right to object to processing.

合作夥伴應支援KPay履行信息主體請求，包括但不限於： a) 查閱權； b) 更正權； c) 刪除權（"被遺忘權"）； d) 限制處理權； e) 信息可攜權； f) 反對處理權。

4.7. You shall indemnify and hold KPay harmless from any claims, damages, losses, and expenses arising from your breach of data protection obligations under these T&Cs.

你應賠償並使KPay免受因你違反本條款和條件下的信息保護義務而產生的任何索賠、損害、損失和費用。

4.8. You acknowledge that any breach of these data protection provisions may result in immediate termination of the partnership relationship and potential legal consequences.

4.9. KPay reserves the right to audit your compliance with these data protection provisions upon reasonable notice. You shall maintain appropriate documentation demonstrating compliance with these provisions and applicable data protection laws.

KPay保留在合理通知的情況下審計你遵守這些信息保護規定的權利。你應維護適當的文件，以證明遵守這些規定和適用的信息保護法律。

5. Complaints and Disputes Handling 投訴及糾紛處理

5.1. If you believe that any of the content in the Services as posted on the Portal is in violation of your proprietary rights or is otherwise violating

these T&Cs, please report to the Customer Service Department of KPay Merchant Service Limited (via email to: cs@kpay-group.com). In relation to any complaints, conflicts, claims, or after sales inquiry or feedback in relation to our Service, please send us an email to our Customer Service Department. We (or in the case of In-App Services, jointly or separately with the In-App Services providers) shall as soon as practicable respond to such complaints, conflicts, claims or after sales inquiry. Our determination to any complaints, conflicts or claims shall be final.

6. Disclaimer Of Warranties 免責聲明

6.1. We do not guarantee, represent, or warrant that your use of our Portal will be uninterrupted, timely, secure, or error-free. We do not warrant that the information and content as provided on the Portal will be accurate or reliable. You agree that from time to time we may remove the Portal for indefinite periods of time or cancel any of our Service offered at any time, without notice to you.

我們未能保證、聲明或承諾你使用本平台期間服務不會中斷、及時、安全或無誤，亦不能保證平台提供的信息及內容是準確可靠。你同意我們可以不作另行通知的情况下無限期卸下本平台或移除我們所提供的任何服務.

6.2. You expressly agree that your use of, or inability to use, the Portal is at your sole risk. The Services delivered to you through the Portal are (except as expressly stated by us) provided ‘as-is’ and ‘as-available’ for your use, without any representation, warranties or conditions of any kind, either express or implied to the extent permitted by law, including all implied warranties or conditions of merchantability, merchantable quality, fitness for a particular purpose, durability, title, and non-infringement.

你明確同意你將自行承擔使用或無法使用本平台的風險。本平台按照「現況」及「現有」為基礎提供服務, 並不附帶法律允許範圍內任何明示或隱含陳述、保證或條件，包括就服務的適售狀態、適銷質量、特定用途的適用性、耐久性、所有權，以及非侵權作出的默示擔保。

6.3. You acknowledge and agree that we shall, to the extent permitted by law, have no liability for any: (i) errors, mistakes, or inaccuracies of content; (ii) personal injury, property damage, or other harm resulting from your access to or use of our Portal; (iii) any unauthorized access to or use of our servers, any personal information, or user data; (iv) any interruption of transmission to or from our Portal; (v) any bugs, viruses, trojan horses, or the like that may be transmitted on or through our Portal; (vi) any damages, losses, costs, expenses, or liabilities of any kind incurred as a result of any content or the use of any content posted or shared through our Portal; (vii) any damages, losses, costs, expenses, or liabilities of any kind incurred as a result of Merchant Leads in breach of these T&Cs.

你確認並同意在法律允許的範圍內，我們將不會對以下事項承擔任何責任：（i）內容錯誤或不準確；（ii）因你訪問或使用本平台而造成的人身傷害、財產損失或其他傷害；（iii）未經授權訪問或使用我們的伺服器、個人信息或用戶信息；（iv ）與平台之間的任何傳輸中斷；（v）任何在本平台或透過本平台傳播的錯誤、病毒、特洛伊木馬等；（vi）因任何內容或使用本平台發佈或共享的內容而產生的任何損害、損失、成本、費用或任何類型的責任; (vii) 因違反本條款及細則而提交的商戶線索而產生的任何損害、損失、成本、費用或任何類型的責任。

6.4. To the fullest extent permitted by applicable law, you acknowledge and agree that in no event will we be liable to you or to any third party for any direct, indirect, special, incidental, punitive, or consequential damages (including for loss of profits, revenue, or data) or for the cost of obtaining substitute products, arising out of or in connection with these T&Cs, however caused, whether such liability arises from any claim based upon contract, warranty, tort (including negligence), strict liability or otherwise, and whether or not we have been advised of the possibility of such damages.

在適用法律允許的 大範圍內，你確認並同意在任何情況下，我們不需為你或任何第三方承擔任何責任，包括就本條款及細則所引起的任何相關直接、間接、特殊、偶然、懲罰或衍生之損害（包括利潤、收入或數據損失），或以獲取替代產品的費用。無論是合約、擔保、民事侵權（包括疏忽）、嚴格責任或其他方面引起的責任，以及我們是否已獲告知該損害可能會發生，我們概不承擔任何責任。

6.5. You agree to indemnify, defend and hold us and our parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns and employees, harmless from any claim or demand, including legal fees, made by any third party due to or arising out of your breach of these T&Cs or the documents they incorporate by reference, or your violation of any law or the rights of a third-party.

你同意為我們及我們的母公司、子公司、附屬公司、合作夥伴、高級職員、董事、代理人、承包商、許可人、服務供應商、分包商、實習生和員工賠償和辯護，並使以上任何一人無需承擔任何因你違反本條款及細則或其引用文件、任何法律或第三方的權利而產生的索償，要求及法律費用。

6.6. In the event that any provision of these T&Cs is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these T&Cs, such determination shall not affect the validity and enforceability of any other remaining provisions.

若本條款的任何條款被確定為非法、無效或不可執行，該條款仍應在適用法律允許的 大範圍內執行，而不可執行的部份應被視為與本條款及細則分離，但該決定不應影響任何其他剩餘條款的有效性及可執行性。

7. Termination終止協議

7.1. The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of this agreement for all purposes.

各方在協議終止日期前產生的任何義務及責任應在本協議終止後持續生效。

7.2. These T&Cs are effective unless and until terminated by either you or us. You may terminate these T&Cs at any time by notifying us that you no longer wish to use our Services, or when you cease using our

Portal.

除非你或我們任何一方決定終止用户協議，否則本條款及細則仍然有效。你可以隨時通知我們或直接停止使用本平台以終止本條款及細則對你的約束。

7.3. If in our sole judgment you fail, or we suspect that you have failed, to comply with any term or provision of these T&Cs, we also may terminate our relationship with you at any time without notice and/or accordingly may deny you access to our Services (or any part thereof).

若我們判斷或懷疑你未能遵守本條款及細則的任何條款或規定，我們可以隨時終止與你的合約關係而不作另行通知，及/或相應地拒絕你使用本服務（或其任何部分）。

8. Governing Law and Jurisdiction適用法律及司法管轄權

8.1. These T&Cs and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of Hong Kong SAR. Any dispute or claim arising out of or in connection with these T&Cs shall be subject to the exclusive jurisdiction of the courts of Hong Kong SAR.

本條款及細則和涉及提供服務的任何單獨協議均受香港特別行政區法律管轄並按其解釋。本條款及細則所引起或相關的任何糾紛或索償均受香港特別行政區之法律機關所約束。

9. In case of doubt or discrepancy in English and translated version, the English version shall prevail. 如英文本與翻譯本有任何差異，概以英文本為準。
